Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and LLM Family Investments Pty Ltd (ACN 610 504 482) as trustee for the LLM Family Trust (ABN 27 213 698 865), trading as Guest Charge (“Guest Charge”, “we”, “us”, “our”) governing your use of the Guest Charge platform, websites, mobile app and related services (the “Service”). By creating an account, registering a charger, or using the Service to charge a vehicle, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

  • Host — a person or business that registers and offers charging through the Service.
  • Guest — a person who charges a vehicle at a host’s location through the Service.
  • Charger — the electric-vehicle charging equipment owned or controlled by a host.
  • Platform — the Guest Charge software that connects hosts and guests, controls charging sessions and processes payments.

2. The role of Guest Charge

Guest Charge provides software that lets hosts manage their own charging equipment and lets guests start and pay for charging. We are not an electricity retailer, and we do not own, install, operate or maintain the chargers. The host is responsible for their charging equipment, the electricity it supplies, and its safe and lawful operation. The charging relationship is between the host and the guest; Guest Charge provides the platform and payment facilitation that supports it.

3. Eligibility and accounts

  • You must be at least 18 years old and able to enter a binding contract.
  • Host accounts are for business use in operating charging at a property you own or control.
  • You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity under your account. Enable two-factor authentication where offered. Tell us promptly of any unauthorised use.

4. Host obligations

  • Register only chargers you own or are authorised to operate, and keep charger, location and pricing information accurate and up to date.
  • Ensure your chargers are installed, maintained, inspected and operated safely and in compliance with all applicable electrical, safety, consumer, tax and other laws in your location.
  • Set lawful, clear pricing and honour it. You are responsible for any consumer-law disclosures required where you operate, and for the correct treatment of taxes on your charging.
  • Provide guests with the access links or QR codes needed to charge, and deal fairly with your guests, including any refunds or disputes about charging at your property.
  • You are responsible for your guests’ data you enter into the Service and for having a lawful basis to provide it.

5. Guest terms

  • When you start a charge through the Service, you authorise the charging session and, where the host requires payment, you authorise the applicable charge to your payment method.
  • Depending on the host’s setup, charging may be billed as a fixed fee per stay, per kilowatt-hour used, or a flat fee per day on which you charge. Where a card is saved, you authorise us (through our payment processor) to charge it, including after your session, for the amounts shown.
  • Charges are made in the host’s currency. If that differs from your card’s currency, your bank performs the conversion and may apply its own fees — Guest Charge does not set exchange rates.
  • You will receive a summary or receipt for your charging by email or SMS where you have provided those details.
  • Use chargers only with a compatible vehicle and equipment, follow the host’s and manufacturer’s instructions, and do not misuse or tamper with the equipment.

6. Fees, payments and payouts

  • Payment processing. Payments are processed by Stripe and are subject to Stripe’s terms. Card details are handled by Stripe, not by Guest Charge.
  • Platform fees. Guest Charge may deduct a commission from guest charges depending on the host’s plan, and may charge subscription fees for paid plans. Applicable fees are shown in the Service or on our pricing page.
  • Payouts to hosts. Host earnings, net of platform fees and payment-processing costs, are paid out through Stripe Connect to the payout account the host connects. Hosts are responsible for providing accurate payout and tax details and for any taxes on their earnings.
  • Taxes. Tax on charging may be calculated and shown at the point of payment based on the charging location. Hosts remain responsible for their own tax compliance.
  • Refunds, disputes and chargebacks. Refunds for charging are primarily a matter between guest and host. If you dispute a charge, contact the host and/or us. Chargebacks and payment disputes are handled through Stripe’s processes.

7. Acceptable use

You must not: use the Service unlawfully or fraudulently; attempt to gain unauthorised access to the Service or other users’ data; interfere with or disrupt the Service; reverse engineer or copy the Service except as allowed by law; misuse charging equipment; or use the Service to infringe others’ rights. We may suspend or terminate access for breach.

8. Third-party services

The Service relies on third parties including Stripe (payments), Amazon Web Services (hosting, email and SMS), Google Maps (mapping and address lookup), and calendar providers such as Airbnb (iCal import). Your use of features that involve these providers may also be subject to their terms. We are not responsible for third-party services outside our control.

9. Intellectual property

Guest Charge and its licensors own all rights in the Service, including software, designs, text and branding. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. You retain rights in the content you provide and grant us the rights needed to operate the Service for you.

10. Availability, chargers and assumption of risk

We aim to keep the Service available but do not guarantee it will be uninterrupted or error-free, and we may perform maintenance or make changes. Charging depends on physical equipment, electricity supply and network connectivity that we do not control.

EV charging carries inherent risks. Guest Charge does not warrant that any charger will be available, functional, or deliver a particular charging speed or amount of energy, and is not responsible for the condition or operation of a host’s charger or for any damage to a vehicle, equipment or property arising from charging. Guests charge at their own risk and should follow the host’s and vehicle manufacturer’s instructions.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, and we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability and non-infringement. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law or other applicable consumer-protection laws.

12. Limitation of liability

To the maximum extent permitted by law, Guest Charge will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or relating to the Service. Where liability cannot be excluded but can be limited, and to the extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the greater of the platform fees you paid to us in the three months before the event giving rise to the claim, or AUD 100. This section does not limit liability that cannot be limited by law.

13. Indemnity

You agree to indemnify and hold harmless Guest Charge from claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or — for hosts — your operation of chargers and your dealings with your guests.

14. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, the provisions that by their nature should survive (including fees owed, disclaimers, liability limits and indemnities) continue to apply. We will handle your data in accordance with our Privacy Policy.

15. Changes to the Service and these Terms

We may change the Service and update these Terms from time to time. We will post the updated Terms here and update the “Last updated” date; material changes will be notified where appropriate. Continued use after changes take effect means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of Australian Capital Territory, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of that place. If a mandatory consumer-protection law in your country of residence gives you additional rights, nothing here removes them. We encourage you to contact us first to resolve any dispute informally.

17. General

If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a business transfer. These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service.
